Terms and Conditions
1. General
1.1. This document (together with the documents referred to) tells you the conditions on which Newcastle University supply any services detailed on the online storefront (StoreFront) available at https://cpd.ncl.ac.uk/ to you the buyer. Please read these conditions carefully before ordering any Services. You should understand that by using our website (including ordering any of our Services), you accept these conditions of sale, our website terms of use and privacy policy and that you agree to abide by them. If you do not agree to any of the terms in these documents, please refrain from using the Website. The Website is for use by people who are 18 years and over only.
1.2. The person placing the online order (the customer) must register their details within the University's online store.
1.3. If you are purchasing on behalf of:
• a company registered for VAT in the United Kingdom and require a VAT receipt
or
• a company based outside of the United Kingdom
You should have received a VAT receipt automatically, if you haven’t please contact the University at Llahub@ncl.ac.uk to make arrangements for VAT receipt.
1.4. Unless otherwise stated, these shall be the only terms and conditions upon which the University is prepared to supply the goods or services ordered by the customer. In certain cases, there may be terms and conditions specific to a product or service which shall supersede the terms and conditions here. If this is the case we shall endeavour to make this clear in the description of the product or service and available prior to your order.
1.5. These terms & conditions should be read in conjunction with the StoreFront privacy policy available in the Help menu on the StoreFront. By agreeing to our terms & conditions you are consenting to the processing of your personal data on accordance with our privacy policy.

2. Interpretation
2.1. The definitions and rules of interpretation in this clause apply in the following conditions:
2.1.1. You or your: the person, firm or company who purchase the services from us.
2.1.2. We or us or our or ourselves: Newcastle University, with the address Newcastle University, Newcastle upon Tyne, Tyne and Wear, NE1 7RU. Our VAT number is GB499672470
2.1.3. StoreFront or online shop or online store or website: web page(s) available at https://cpd.ncl.ac.uk/ where we will promote the sale of goods and services.
2.1.4. Contract: any contract between you and us for the sale and purchase of the services incorporating these conditions.
2.1.5. Product: any good or service advertised for sale on the online store, including conferences and events.
2.2. A reference to a particular law is a reference to it as it is in force for the time being taking account of any amendment, extension, application or re-enactment and includes any subordinate legislation for the time being in force made under it.
2.3. Words in the singular include the plural and in the plural include the singular.
2.4. The word ‘sale’ also applies to goods or services that are free of charge.
2.5. A reference to one gender includes a reference to the other gender.
2.6. Condition headings do not affect the interpretation of these conditions.
3. Availability of Services
3.1. All orders are subject to acceptance by the University, and the University will confirm its acceptance by email (Confirmation of the Order). The customer agrees that email can be used as the primary means of communication.
3.2. It is the customer’s responsibility to check the Confirmation of the Order ensuring that the details are correct and notify the University of any errors or discrepancies.
4. Orders
4.1. Cancellation by the Customer[FB1] [CL2]
4.1.1. The customer can cancel and service with at least 90 days notice. Cancellations with less than 90 days notice will result in the following cancellation fees:
4.1.1.1. More than 90 days before start date – full refund
4.1.1.2. 31-89 days before start date – 50% cancellation charge
4.1.1.3. 0-31 days before start date– 100% cancellation charge
4.1.2. In the event that a product has an alternative cancellation policy, the alternative policy will supersede the terms and conditions for the StoreFront. If alternative terms apply, this will be made clear in the product description either stating these terms or providing a hyperlink.
4.2. Cancellation of Services by the University
4.2.1. The University will endeavour to keep the records for the StoreFront up to date at all times. In the event that a product appears on the store that is no longer aavailable, or a customer purchase requires cancellation by the University for any other reason, the University will refund the customer for the full amount of the purchase or contact the customer to offer alternative services if available.
5. Provision of Services
5.1.1. The services shall be provided on the data specified in the online store and/or confirmation of order.
6. Refunds
6.1. We will endeavour to pay any refunds due for goods and/or services within twenty eight (28) days of the refund agreement.
6.2. Any refunds will be made to the debit/credit card used for the original transaction.
7. Price
7.1. Unless otherwise agreed by the University in writing, the price payable for the goods or services ordered via the online store will be the price as displayed, and will include any element of value added tax (VAT) applicable to the transaction. The price displayed does not include costs or charges in relation to postage (unless stated in the product description), which if applicable will be added before the transaction is complete.
7.2. The price of services available in the ‘Conferences and Events’ module may be dependent both upon the categorisation of the attendee as well as the programme chosen. The total price will be formed as a result of the package chosen by the Customer and will be available for viewing prior to the payment process.
8. Images
8.1. Images shown on the StoreFront are for display purposes only and may not provide an accurate portrayal of the service itself.
9. Payment
9.1. Please read these terms carefully before using the StoreFront as using the online payment facility indicates your acceptance of these terms.
9.2. Your payment will normally reach the University bank account to which you are making the payment within three (3) working days.
9.3. We cannot accept liability if the payment is refused or declined by the credit/debit card supplier for any reason. If the card supplier declines payment, the University is under no obligation to bring this fact to the attention of the customer. It is the responsibility of the customer to check with his/her bank/credit/debit card supplier that the payment has been deducted from his/her account.
9.4. The information you provide when registering and during any transaction using the online store will only be used to fulfil the order, process payments and communicate with you regarding your order. We shall abide by the principles of the Data Protection Act 1998 and ensure that the data is used for no other purposes and is disclosed to no other third party, except in respect of data that is necessary to provide to the University’s e-commerce provider or where it is necessary for your personal details to be shared with third parties for the completion of your order.
9.5. Customer data will be stored on a secure database by the University’s e-commerce provider (WPM Education) on behalf of Newcastle University, so that we can access payment records in the event of queries or incomplete payment information. Any credit or debit card details given by you will not be retained in their entirety. Information will only be retained for a reasonable period before being destroyed. For further information on data protection, please read the privacy policy under the Help menu within the StoreFront.
10. Liability
10.1. This section applies only to the extent permitted by law. For the avoidance of doubt, the University does not exclude or limit any liability for (a) personal injury where such injury results from the University’s negligence or wilful default, or that of the University’s employees, agents or subcontractors or (b) fraudulent misrepresentation.
10.2. The University does not accept liability for any indirect loss, consequential loss, loss of income or profit or anticipated savings and/or loss from claims of third parties arising out of the customer’s use of the site.
10.3. The University does not accept liability (except as set out below in 10.4.1) for any errors or omissions and reserves the right to change information, prices, specifications and descriptions of listed goods, products and services.
10.3.1. If an error is discovered in the price of the services a customer has ordered, the University will inform the customer as soon as possible. If this occurs before the delivery of the services the University will contact the customer, giving the customer the choice to confirm the order at the correct price, or cancel the order. The University will be under no obligation to fulfil an order which is advertised at an incorrect price.
10.3.1.1. If the customer chooses to confirm the order at the new price, any outstanding balance will be settled and the order shall be treated as a new order from that point, with Terms and Conditions applying accordingly.
10.3.1.2. If the customer chooses to cancel the order and payment has been received, the University shall refund the full amount paid in accordance with these terms.
11. Force Majeure
11.1. The University reserves the right to defer the date of delivery or cancel the contract for all circumstances beyond reasonable control, including but not limited to any strike, lockout, disorder, fire, explosion, accident or stoppage of or affecting the University’s business or work and which prevents or hinders the delivery of the goods or performance of the services.
12. Variation
12.1. The University retains the right to revise and amend these Terms and Conditions from time to time without notice. Any such changes will not affect orders for which the Customer has already received a confirmation of order.
13. Governing Law
13.1. These terms are subject to and will be governed by and construed in accordance with English Law.
