Aims

The overall aims of this module are to give students an introduction to Company Law and to enable them to gain knowledge of its main features and some of its specific 'technical' rules; to analyse and evaluate this knowledge; and to gain some understanding of how corporate law operates in practice in the commercial world.

Company law in the U.K. is a vast subject. This module aims to cover the main features of the law and provide an insight into how the legislation works, how it falls to be construed, and how far it succeeds in its actual or apparent aims. It will consider the salient features of the legislation addressing certain key topics along with the important case law. It also aims to provide a firm theoretical base, which seeks to put company law and the governance of companies into a wider context. By the end of the module, students should have gained a general awareness of the technicalities and theoretical structure of company law.

Teaching Rationale And Relationship

The Teaching Methods is in person delivery, it is therefore based on lectures that will give students a solid framework of knowledge and a good base for their independent study and preparation for seminars and assessment. The seminars will aim to consolidate this by identifying key themes and issues arising from each topic with the aim of stimulating students’ interest and enthusiasm for the subject, their engagement with it, and helping them to become active, independent, and reflective learners. Also, the fifth cycle of seminars is used to provide a formative assessment component, as explained in the assessment rationale.

Assessment Methods

The format of resits will be determined by the Board of Examiners

Exams
Description Length Semester When Set Percentage Comment
Digital Examination1801A100Inspera, Digital Exam. Choice of four from six questions. Choose two from three questions in part A and two from three questions in part B.
Formative Assessments

Formative Assessment is an assessment which develops your skills in being assessed, allows for you to receive feedback, and prepares you for being assessed. However, it does not count to your final mark.

Description Semester When Set Comment
Written exercise1MThe fifth cycle of seminars is used to provide a formative assessment component as the students will be given two past exam questions to prepare and then in the seminar they will receive feedback on their answers.
Assessment Rationale And Relationship

Examination provides the opportunity to demonstrate achievement of the knowledge-based outcomes across the entire syllabus. More specifically In person examination provides: (i) the opportunity to demonstrate problem solving skills; and (ii) mental agility: the ability to juggle and manipulate a (necessarily limited) number of concepts held at one's fingertips, 'thinking on one's feet', making connections with limited resources/materials and 'responding to productive pressure'.

Given concerns regarding overassessment highlighted by previous cohorts the formative essay has been replaced with formative activities which will be undertaken within a taught session. This activity will help prepare students for the summative assessment without placing an extra assessment burden on the students

Emulating what would be expected of students who will be working in the legal field as Company Law, as a subject, is geared towards practice and practical application of the law and this is the best way of testing these skills and equip the students for different career opportunities
